By the company, in a civil action, under a fraudulent transfer theory, which is a mechanism most people have never heard of and which is the actual reason money comes back in cases like this one.

It works like this.

If a company’s money was taken and then moved to a third party who did not give reasonably equivalent value for it, the company can go and get it from the third party — even if the third party did nothing wrong at all, and even if the third party has spent it.

Innocence is not a defence to a clawback.
