Nobody stood up and demanded that anybody walk across a room.

That does not happen; a director who did it would be removed from the board by lunchtime and the company’s employment counsel would be on the phone before he got to his car.

What happened was that Ross Bramhall’s motion for an independent medical examination had been ruled out of order in February, and he had accepted the ruling, and in March he did the only other thing available to him, which was to vote no and ask that his no be recorded with a statement of reasons.

His statement of reasons is two paragraphs long and it is in the minutes and it is, in retrospect, the most accurate document produced by anybody at Bramhall Industrial that year.
